ArgusPTZ Terms of Service


1. Introduction and Acceptance

These Terms of Service ("Terms") form a legally binding agreement between you ("you," "Customer," or "User") and Good Way Technology Co., Ltd. ("Good Way," "we," "us," or "our") and govern your access to and use of the ArgusPTZ AI-powered PTZ security camera platform and its related hardware, firmware, software, applications, administrator consoles, APIs, documentation, and SMS notification program (collectively, the "Service").

By installing, accessing, or using the Service — or by clicking a checkbox indicating acceptance of these Terms — you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to that organization.

If you do not agree to these Terms, do not access or use the Service.


2. Definitions


3. Eligibility and Accounts

3.1 Eligibility. You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into a binding contract to use the Service.

3.2 Account registration. To use the Service you must register an Account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You must promptly notify us of any unauthorized use of your Account.

3.3 Authorized Users. The Customer is responsible for the acts and omissions of its Authorized Users and shall ensure that they comply with these Terms.


4. The Service

4.1 Description. ArgusPTZ is an AI-powered PTZ (pan-tilt-zoom) security camera platform that provides on-premises video monitoring, automated event detection, and notification capabilities. Features may include, without limitation: geofence monitoring, AI-based object and person detection, camera control, and SMS notifications.

4.2 License grant. Subject to your compliance with these Terms, Good Way grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business or personal security-monitoring purposes during the applicable subscription, licensing, or warranty term.

4.3 Service updates. We may from time to time update, modify, enhance, or release new versions of the Service, including firmware and software updates. Some updates may be necessary for security, compliance, or continued functionality. We may discontinue features with reasonable notice where commercially practicable.

4.4 On-premises deployment. Certain components of the Service are deployed on the Customer's premises. The Customer is responsible for providing suitable installation conditions, network connectivity, power, environmental controls, and physical security for the on-premises equipment.


5. Acceptable Use

You agree not to, and not to permit any Authorized User or third party to:

You are solely responsible for ensuring that your use of the Service — including the placement of cameras, the configuration of detection zones, and the recipients of notifications — complies with all applicable laws in your jurisdiction.


6. Customer Content

6.1 Ownership. As between you and Good Way, you retain all rights, title, and interest in and to your Customer Content. We do not claim ownership of Customer Content.

6.2 Limited license to us. You grant Good Way a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display Customer Content solely to the extent necessary to provide, secure, and support the Service and to comply with our legal obligations.

6.3 Responsibility. You are solely responsible for the lawfulness, accuracy, and appropriateness of Customer Content and for obtaining any consents, permits, or notices required for the deployment of cameras, sensors, and notification recipients.


7. Intellectual Property

The Service, including all software, firmware, hardware designs, models, algorithms, user interfaces, Documentation, trademarks, and trade dress, is owned by Good Way Technology Co., Ltd. or its licensors and is protected by intellectual property laws and treaties. Except for the limited license granted in Section 4.2, no rights are granted to you by implication, estoppel, or otherwise. "ArgusPTZ," "Good Way," and related logos are trademarks of Good Way Technology Co., Ltd.


8. Privacy

Our collection, use, and disclosure of personal information in connection with the Service is described in the ArgusPTZ Privacy Policy, available at /privacy-policy. By using the Service you acknowledge that you have read the Privacy Policy.


9. SMS Notification Program

This Section applies if you opt in to receive SMS text-message notifications from the Service.

9.1 Program description. The ArgusPTZ SMS notification program delivers transactional security alerts and operational notifications to Authorized Users who have opted in, including geofence breach alerts and AI object/person detection events. The program is transactional only; we do not send marketing or promotional messages through it.

9.2 Opt-in. You opt in by logging into the ArgusPTZ administrator console, entering your own mobile telephone number, and affirmatively checking a consent box agreeing to receive SMS notifications. By opting in you represent that you are the subscriber of, or are authorized to provide consent for, the mobile number you provide.

9.3 Message frequency. Message frequency is event-driven and varies based on activity detected by the cameras and sensors configured on your deployment. Typical volume is between 0 and 20 messages per day per user.

9.4 Costs. Good Way does not charge a fee for messages delivered under the program. Standard message and data rates may apply in accordance with your wireless carrier plan.

9.5 Opt-out. You may withdraw your consent at any time by replying STOP, OPTOUT, CANCEL, END, QUIT, UNSUBSCRIBE, REVOKE, or STOPALL to any message. You will receive a single confirmation message and no further messages from the program until you re-enroll. Reply START or re-enroll through the administrator console to resubscribe.

9.6 Help. Reply HELP or INFO to any message to receive contact and assistance information.

9.7 Carriers. The program is supported by major U.S. wireless carriers, including but not limited to AT&T, T-Mobile, Verizon Wireless, Sprint, U.S. Cellular, Boost Mobile, MetroPCS, Cricket Wireless, and Virgin Mobile. Carriers are not liable for delayed or undelivered messages. Supported carriers may change without notice.

9.8 Privacy of mobile information. We will not share your mobile information with third parties or affiliates for marketing or promotional purposes. Mobile opt-in data and consent are not shared with any third parties. Full details are provided in the Privacy Policy.


10. Third-Party Services

The Service may integrate with or rely upon third-party services (such as cloud platforms, telecommunications carriers, message-delivery providers, and identity providers). Your use of such third-party services is subject to the third party's terms and privacy practices. We are not responsible for the acts, omissions, or content of third parties.


11. Disclaimers; Not an Emergency Service

11.1 No emergency service. THE SERVICE IS NOT AN EMERGENCY-RESPONSE, LIFE-SAFETY, OR PROFESSIONAL MONITORING SYSTEM. The Service does not transmit alerts to law enforcement, fire, medical, or other emergency-dispatch authorities. If you require emergency response, contact the relevant emergency authority directly. We do not guarantee that any notification will be delivered, received, or acted upon in time to prevent any harm, loss, or damage.

11.2 "As is." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, accurate, complete, or secure, or that defects will be corrected. Nothing in these Terms limits any non-waivable statutory product warranties applicable to hardware components.


12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(a) IN NO EVENT WILL GOOD WAY, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(b) GOOD WAY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID TO GOOD WAY FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (ii) ONE HUNDRED U.S. DOLLARS (US$100).

(c) THE FOREGOING LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STATUTE, OR OTHERWISE) AND DO NOT APPLY TO LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.


13. Termination

13.1 By you. You may terminate your use of the Service at any time by ceasing access and, where applicable, requesting deactivation of your Account.

13.2 By us. We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if (a) you breach these Terms, (b) your use creates a security, legal, or reputational risk to us or other users, or (c) we are required to do so by law or by our service providers or carriers.

13.3 Effect of termination. Upon termination, your right to access and use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 6.3, 7, 11, 12, 13.3, 14, and 15) will survive.


14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of China (Taiwan), without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Taiwan Taipei District Court as the court of first instance, unless otherwise required by mandatory law applicable to a consumer in the consumer's jurisdiction.

Nothing in this Section limits any non-waivable rights you may have under applicable consumer-protection, telecommunications, or data-protection law in your jurisdiction, including, for users in the United States, the Telephone Consumer Protection Act (TCPA).


15. Changes to These Terms

We may amend these Terms from time to time. When we do, we will post the revised version on this page and update the "Last Updated" date above. Material changes will be communicated through the ArgusPTZ administrator console or by email. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.


16. Miscellaneous

16.1 Entire agreement. These Terms, together with the Privacy Policy and any order forms, subscription agreements, or product warranties expressly incorporated by reference, constitute the entire agreement between you and Good Way regarding the Service and supersede all prior or contemporaneous understandings.

16.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

16.3 No waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

16.4 Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

16.5 Force majeure. Neither party will be liable for any delay or failure to perform due to causes beyond its reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, governmental action, epidemics, power or telecommunications failures, or internet outages.

16.6 Notices. Notices to Good Way must be sent in writing to the contact details in Section 17. Notices to you may be provided through the administrator console, by email to the address associated with your Account, or by SMS where applicable.

16.7 Language. These Terms are provided in English. If a translated version is provided for convenience and there is any conflict, the English version controls.
